DreaInno, or downloading our software deliverables, you agree to be bound by these
Terms of Service ("Terms"). If you represent an organization or corporation, you warrant that you have
the legal authority to bind that entity to this agreement.
Clarity Over Legalese: We aim for mutual respect and technical transparency. Our agreements
are structured to safeguard your intellectual property while giving our engineering team the freedom to deliver
world-class digital craft.
DreaInno provides premium design studio and software engineering capabilities across four primary domains:
- High-Fidelity Web Design & Motion: Design systems, component libraries, typography direction, and responsive UI/UX architecture.
- Full-Stack Software Engineering: High-performance frontend applications, REST/GraphQL APIs, backend architecture, and database integrations.
- Browser Extensions & Tooling: Manifest V3 extensions, client-side audit engines, and workspace productivity dashboards.
- Security & Performance Optimization: Zero-JS rendering benchmarks, Core Web Vitals optimization, and real-time PII prompt firewalls.
All client-commissioned projects are governed by a mutually executed Statement of Work (SOW), Proposal,
or Master Services Agreement (MSA). Each SOW specifies:
- Defined functional milestones, deliverables, and technical criteria.
- Sprint schedules, review windows, and release deadlines.
- Budget allocations, currency, and milestone billing triggers.
- Designated review leads from both DreaInno and the client organization.
In the event of any specific conflict between these general Terms and an executed SOW, the terms of the
individual SOW shall prevail.
We believe in complete client ownership over commissioned work:
100% Client Ownership Guarantee: Upon complete receipt of all milestone fees stipulated
in the SOW, DreaInno assigns and transfers to the client all right, title, and interest in and to the custom
source code, frontend templates, graphical brand assets, and bespoke documentation produced specifically for the client.
Pre-Existing Tools & Studio Frameworks: DreaInno retains all rights to its pre-existing
codebases, proprietary boilerplate engines, build pipelines, and general architectural patterns developed
independently of the client engagement. Clients receive a perpetual, irrevocable, worldwide, royalty-free license
to utilize any embedded pre-existing studio components within their deliverables.
DreaInno regularly incubates and operates standalone digital products and open-source packages:

Incubated Ventures (Fogo, AffiScope Pro, AffiStyle): Governed by their respective end-user
license agreements (EULA), marketplace terms (Chrome Web Store, WordPress.org Plugin Directory), and official site policies.

Open Source Packages (universal-form-validator, ai-prompt-firewall, PawID, KindLink):
Distributed under established open-source licenses (MIT, Apache 2.0). Users are granted rights in accordance
with the license file included in the respective repository.
Project invoicing follows clearly documented milestone gates agreed upon prior to project initiation:
- Initiation Retainer: A standard project commencement deposit is required prior to engineering sprint kickoff.
- Milestone Payments: Subsequent payments correspond to tangible deliverables (e.g., Design System Approval, Alpha Build, Staging Deployment).
- Payment Terms: Invoices are payable within fourteen (14) calendar days of issuance unless otherwise stipulated in the SOW.
Both parties agree to protect and maintain the confidentiality of all proprietary technical specifications,
source code, product roadmaps, business strategies, and financial records disclosed during inquiries or engagements.
Confidential information will not be disclosed to any third party without prior written consent, except where
required by lawful judicial subpoena or statutory regulation.
Quality Warranty: DreaInno warrants that all deliverables will be executed in a professional,
workmanlike manner meeting current web standards (including WCAG accessibility guidelines and Core Web Vitals targets)
and will be free of material defects for a warranty period of thirty (30) days following final deployment.
Limitation of Liability: To the maximum extent permitted by applicable law, neither party shall
be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or business interruption).
DreaInno's aggregate cumulative liability arising out of any engagement shall not exceed the total fees actually paid by the
client under the specific Statement of Work giving rise to the claim.
These Terms and all associated contractual engagements shall be governed by and construed in accordance with
the laws applicable to commercial software agreements.
In the event of a dispute, the parties commit to engaging in good-faith executive negotiations for thirty (30) days
before initiating formal binding arbitration or legal proceedings.
